Statement regarding signs of a possible crime
TV-Radio Company ‘Trialeti’ is addressing you with a request to examine the decision adopted by the National Agency of Public Registry, which, in our assessment, may contain signs of abuse of official authority and the intentional infliction of harm through the incorrect interpretation of the content of a document
On May 8, 2026, the National Agency of Public Registry adopted Decision No. B26356925/3, by which the registration proceedings of LLC TV-Radio Company “Trialeti” were suspended.
In the said decision, the Public Registry indicates that, allegedly according to the current charter, the disposal of a share by a partner requires the “consent of the partners,” on the basis of which it demanded 100% consent of the partners.
However, in reality, the registered charter contains an entirely different provision -
“In the event of disposal of a share by a partner, a decision of the company’s partners is required.”
Presenting the word “decision” as “consent” substantially changes the legal meaning of the provision, because:
• “Decision of the partners” means a decision adopted by the meeting of partners;
• Whereas the Registry interpreted "consent" as the individual, 100% consent of all partners.
Accordingly, the Public Registry effectively changed the content of the Charter and, based on this altered interpretation, blocked the registration process of "Trialeti."
It is particularly noteworthy that this requirement fully coincides with the position of the representatives of LLC “Accept,” the holder of a 10% share in “Trialeti,” which gives rise to a reasonable suspicion that the decision may have been adopted under the influence of third parties or in accordance with their interests.
It is also important that such an interpretation effectively creates a mechanism through which one partner can completely block the company’s registration and activities, which produces particularly severe consequences in the case of independent media.
We believe that the above circumstances require legal assessment and investigation, as there may be indications of:
• Signs of abuse of official powers;
• Official forgery;
• Or another possible offense.
We request that you:
1. Initiate the examination of the above-mentioned facts;
2. Request all materials related to the preparation of the Public Registry’s decision;
3. Question the persons involved in the preparation of the decision;
4. Assess whether the text of the charter was deliberately distorted or incorrectly interpreted in order to achieve a specific result.
TV-Radio Company “Trialeti” has been operating in Georgia for 36 years and represents one of the independent regional media outlets. Accordingly, any unlawful or biased action aimed at paralyzing the company carries particular public significance and requires a comprehensive legal response.
